Terms of Agreement

These Terms of Agreement ("Terms") govern your access to and use of the services provided by Spacekart India Pvt. Ltd ("Spacekart", "we", "us"). By signing up for, accessing, or using our services, you agree to be bound by these Terms.

1. Definitions

• "Service" — any virtual office, co-working, meeting room, compliance, or add-on service offered by Spacekart.
• "Customer" — the individual or entity that has signed up for a Service.
• "Member" — Customer and their authorised team members or representatives.
• "Address" — the virtual office address assigned to the Customer.

2. Eligibility

You must be at least 18 years old and legally competent to enter into a contract under Indian law. Businesses must be duly incorporated and represented by an authorised signatory.

3. KYC and Verification

We are required by law to verify the identity of every Customer before activating services. You agree to provide accurate, current, and complete information and to promptly notify us of any changes. Failure to complete KYC may result in suspension or termination.

4. Permitted Use

You agree to use the Services only for lawful purposes and in compliance with all applicable laws, including those relating to anti-money laundering, anti-terrorism financing, taxation, and corporate governance. You must not use the Address for any fraudulent, illegal, or misleading activity.

5. Mail Handling and Communication Services

• Mail is handled with reasonable care but we are not liable for loss or damage caused by third-party couriers.
• Perishable, hazardous, or unlawful items will not be accepted and may be disposed of without notice.
• Mail not collected or forwarded within 90 days may be securely destroyed.
• Call answering is provided in good faith; we are not liable for missed calls beyond our control.

6. Co-working Space Usage

• Co-working access is non-transferable and limited to the plan purchased.
• Members must follow house rules, including noise, hygiene, and safety policies.
• Damage to property or equipment caused by a Member is the Member's responsibility.
• Spacekart may temporarily close spaces for maintenance, with reasonable notice.

7. Fees and Payment

• All fees are quoted in Indian Rupees (INR) and exclusive of GST unless stated otherwise.
• Recurring plans auto-renew unless cancelled before the next billing cycle.
• Late payment may attract interest at 1.5% per month or part thereof.
• We reserve the right to revise pricing with 30 days' written notice.

8. Suspension and Termination

We may suspend or terminate Services if you breach these Terms, fail KYC verification, engage in unlawful activity, or fail to pay fees. You may terminate Services as per our Refund Policy.

9. Intellectual Property

All content, designs, trademarks, and software on our website and Service deliverables are the property of Spacekart or its licensors. You may not copy, modify, distribute, or reverse-engineer any part without prior written consent.

10. Limitation of Liability

To the maximum extent permitted by law, Spacekart's aggregate liability under these Terms shall not exceed the total fees paid by you in the 3 months immediately preceding the claim. Spacekart is not liable for any indirect, incidental, special, or consequential damages.

11. Indemnification

You agree to indemnify and hold Spacekart, its directors, employees, and partners harmless from any claim, demand, loss, or expense arising out of your breach of these Terms or unlawful use of the Services.

12. Governing Law and Jurisdiction

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the competent courts in Ernakulam, Kerala.

13. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified by email at least 15 days before they take effect. Continued use of the Services after the effective date constitutes acceptance of the updated Terms.
